Our system utilizes data volunteered by your business or your end-customers to deploy review invitations via email, SMS text, or other digital communication channels. The ultimate goal of these invitations is to facilitate user-generated content that updates to public search engines, thereby maximizing your online search viewability and digital marketing footprint.
2. CLIENT ACCOUNTS & SECURITY
To access our platform, you may be required to register an account. You agree to:
Provide accurate, current, and complete information during registration.
Maintain the security of your password and accept all risks of unauthorized access to your account.
Promptly notify us if you discover or suspect any security breaches related to the Services or your account.
3. CLIENT DATA, REPRESENTATIONS & WARRANTIES
Our platform operates by processing data uploaded or integrated into our system by you (the Client). Regarding this data, you expressly represent and warrant that:
You possess all necessary legal rights, titles, consents, permissions, and clear opt-ins required by local, state, and federal laws (including the TCPA and CAN-SPAM Act) to provide customer contact data (emails and phone numbers) to Happy Business LLC.
You have full authority to authorize Happy Business LLC to act as your data processor to send automated review invitations via text message or email to the individuals on your customer lists.
You will not upload data that violates any third-party privacy rights, intellectual property rights, or applicable consumer protection acts.
4. COMPLIANCE WITH SEARCH ENGINE POLICIES
Happy Business LLC facilitates the submission of organic feedback to public search engines and third-party directories. Client acknowledges and agrees that:
You must abide by the terms of service of any third-party search engine platform (e.g., Google, Bing) to which reviews are directed.
You will not use our platform to incentivize fake reviews, draft fraudulent feedback, or engage in "review gating" (selectively filtering out negative reviews), which violates major search engine guidelines.
Happy Business LLC does not control, own, or manage third-party search engines and cannot guarantee specific ranking outcomes, indexing times, or the permanent display of reviews on those platforms.
5. FEES, BILLING, AND CANCELLATION
Subscription Fees: Client agrees to pay all fees associated with their chosen service plan as outlined at checkout or in a custom service agreement.
Billing Cycles: All recurring services are billed in advance on a monthly or annual cycle and are non-refundable unless stated otherwise in writing.
Late Payments: Failure to settle outstanding balances may result in the immediate suspension or termination of your access to the platform and proprietary tools.
Cancellation: You may cancel your subscription at any time through your dashboard or by contacting our support team. Cancellation will take effect at the end of your current paid billing cycle.
6. INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, the Services, including our proprietary software, algorithms, databases, website designs, audio, video, text, photographs, graphics, and logos (including the visual designs associated with Happy Business LLC), are owned or licensed by us and are protected by copyright, trademark, and unfair competition laws. You are granted a limited, non-exclusive, non-transferable license to access and use the platform strictly for your internal business operations during your active subscription.
7. PROHIBITED ACTIVITIES
You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include, but are not limited to:
Attempting to reverse engineer, decompile, or copy our proprietary review data systems.
Using the platform to send spam, unsolicited commercial messages, or harassing content to consumers.
Circumventing or modifying any security filters or usage limits built into our SMS or email deployment gateways.
Falsely implying an endorsement, partnership, or affiliation with Happy Business LLC without explicit written consent.
8. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, in no event shall Happy Business LLC, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, search engine visibility drops, or other intangible losses resulting from:
Your use of or inability to use the platform.
Any actions, policy shifts, account suspensions, or algorithmic updates executed by third-party public search engines.
Any unauthorized access to or alteration of your customer lists or transmitted data.
In no case shall our total aggregate liability for any claims arising under these Terms exceed the total amount paid by you to Happy Business LLC in the three (3) months preceding the event giving rise to the claim.
9. INDEMNIFICATION
Client agrees to defend, indemnify, and hold harmless Happy Business LLC, its subsidiaries, and respective officers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected to:
Your breach of these Terms.
Your violation of any third-party rights, including privacy rights or compliance laws (TCPA, CAN-SPAM) associated with the customer lists you upload to our system.
Your misuse of the generated public reviews.
10. TERM AND TERMINATION
These Terms shall remain in full force and effect while you use our website or maintain an active subscription with Happy Business LLC. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services (including blocking specific IP addresses) to any person or business for breach of any representation, warranty, or covenant contained in these Terms.
11. GOVERNING LAW AND JURISDICTION
Happy Business LLC is a registered LLC in the State of Texas. These Terms and your use of the Services are governed by and construed in accordance with the internal laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Texas.
12. CHANGES TO THESE TERMS
